"The majority of shareholders of property developer Bolton Bhd have voted against Tan Sri Amin Shah Omar Shah remaining a board member of the company. Chairman Datuk Mohamed Azman Yahya said 68% of the shareholders, reprsenting more than 140 million owners of the company sharesm decided to vote against the re-eletion of Amin Shah"

Among the bone of contentention mentioned in the news is the dissatisfaction over the lack of commitment of Amin Shah, by virtue of his poor attendance to the board meeting. With an almost 22% stake in the company, he is the single largest individual shareholder of the company. Without any more representation on the board, one wonders whether he will still retain the stake.

First, Tan Sri Tajuddin Ramli was issued a summons for the recovery of RM500 million plus from a total of RM1 billion plus, being the amount loaned to him for the purchase of MAS. Then, Datuk Johari Abdul Ghani was being sued by KFC Holdings (M) Bhd for, among others, a 50% price increase in syrup cost from Permanis Sdn Bhd, which was claimed to be a breach of fiduciary duty as a director.

I can't even get a loan for RM100,000 without the bank as me to secure it with everything i own and here is someone who can get a RM1 billion loan.

50% increase in syrup cost and legal recourse ? Hmmm...

Mutual Seperation Scheme at MAS

The last time I did a Voluntary Seperation Scheme at my company, it cost me RM50,000 in total. It was done in two round, with the first costing me RM20,000.00 and the second one another RM30,000.00

When Malaysia Airlines announced their Mutual Seperation Scheme, it will cost them approximately RM800 million plus, with an estimated 3,000 to 5,000 staff involved. With between one to three months pay for each year of service, one off medical benefit payment, annual leave buy back, 12 month hospitalization benefit and complimentary ticket, it certainly was very much more attractive than what I offered.

The union leader was quoted on TV to be not very pleased with the offer, saying that they were requesting for total compensation of RM1.2 billion. However, he was quick to add that ".. ini sahaja yang syarikat mampu..."

National Automotive Policy... and me

Many people reacted differently to the just announced National Automotive Policy.... there were joy for those who are looking for new car... as prices began to drop drastically (some, not all though...) although within a few days, someone pointed out that with the increase in the financing rate, it somehow evens out for some people..

....as for me, my beloved Volvo dropped another RM5k-7k in value almost overnight... definitely, this car is for keeps...

Thanks to my honey dearest, I went to watch the much anticipated Puteri Gunung Ledang the Musical on sunday, Feb 19, 2006. With words going around that the show was totally sold out, it's amazing how she managed to get rather good seats (just a row below the VVIP, mind you!). Hats off to her... organizational skill par excellence. Dato' Wahid, please make sure you have her on your radar screen make sure she stays in your organization!

Anyway, before the show, we had dinner at Senja @ Asian Heritage Row. I had lunch once there and its not such bad place actually. We happened to be the only one there... ok enough about Senja...

About the actual PGL tM... well, it was amazing to see a local production on this scale. The show was equally long to the movie but the it was truly enjoyable!

We have in total 6 free-to-air channels, with two of them being government-owned. With four under the same owner, wouldn't that trigger an anti-trust/monopoly action ?

Another implication would be streamlining of operations.. which usually means that there will definitely be a reduction in staff..

Ramadhan Buffet

Every year during Ramadan, a friend of mine would email me a list of the hotels in KL and PJ that offers Buka Puasa buffet and the price list. This is very helpful because I normally need to entertain some of my clients during this time of the year having the list helps me to identify the best deals in town.

This year however, no such list comes my way. Let's just say that the friend of mine, is well, no longer a friend. Anyway, a short glance through the newspapers will tell you that this year's Buka Puasa buffet is completely out of this world. RM100++ per person for breaking of fast ? I remember the same hotels were charging around RM50-70++ only a year ago. I never realized crude oil is an important ingredient in preparing many of the dishes? No wonder the ayam percik is a bit sticky and the cream caramel, must have been the diesel that brings out the flavour.

The New Place

My office officially moved to this place on August 1, 2005. All in all, I was at my old office for about two months. Due to some legal matters pending, I will not divulge into the reason for the company vacating the premises. Suffice to say, had we stayed, we won't be in business much longer :)

The new place is located in Petaling Jaya. Ever since I started working, my office has always been located in Shah Alam so a move to PJ is a nice change. Traffic wise, it does not make that much difference because my house is practically linked to my new office via the New Pantai Expressway. Yes, I have to pay RM1.60 for toll charges, but considering the time saved and the fuel charges if I were to be stuck on the Federal Highway... well, RM1.60 is a reasonable price to pay. The new place is actually an office building+warehouse and from its design, one could say that was build circa 1970s... hehehe, the actually gem is actually inside where the layout and the partioning is right out of the '70s! Retro, baby!

I am finally back... yeah, its been quite a while since I last shared my thought...

First of all, some updates..

1. Remember the office move (which I mentioned under the "Doa Selamat" entry of June 9, '05)? Well, during the long hiatus from this weblog, things did not work out at that premises and after considering many factors (still contemplating legal action on the landlord and agent) and with the restructuring finally materializing, I decided to make another move and consolidate all the operations of the group under one roof. We move to PJ... will elaborate on this.

2. The restructuring is almost complete. Come 2006, a new company will emerge.. leaner and stronger. Took some convincing on the part of the staff but over all, they all agreed and are looking forward for better things to come.

3. Mahathir vs Rafidah on the AP... heheh... a nice read on an otherwise dull news cycle :)

4. KFC, QSR...

The Flu Bug

It's been almost 20 days since I last updated my blog. I was down with the flu and this time it hit me pretty bad. No, I was not bedridden for twenty days... just that a combination of the flu and heavy workload sort of kept me away from my blog. My apologies for that.

By the way, I have discovered another alternative to my current WiFi hangout at Starbucks Carrefour Subang Jaya. Although by now almost the entire staff knows my name and what I like to drink, in this days of rising oil price and the likes, this java coffee can be quite hurtful on the wallet. Next to the Starbucks is a La Manila outlet and guess what, I could still get the WiFi signal here! Well, its not very strong but enough for me surf the net and reply my emails. For the same amount of price I pay for a cup of coffee at Starbucks, I can get a tall glass of Ice Lemon tea and a brownie. OK, the immediate affect would definitely be my waistline, hehehe, but at least it's friendlier to my wallet. The waiter (or is he aspiring to be a waitress, if you catch my drift!) is friendly so I guess it's not such a bad place after all. However, there is some ethical issue of course since technically Starbucks offers the free WiFi to its paying customer. Hmmm... have to ponder upon that for a while....

Anyway, I am recovering from my flu. I remembered when I was much younger it took me only a day to recover from a fever but not anymore. Its the sign of ageing, eh ? :)

Doa Selamat

Just had the doa selamat and tahlil for the new office today. It was a simple affair, with about 15 guest, mostly friends. Originally it was supposed to be after the maghrib prayers, with the reading of surah Yaasin but unfortunately the ustadz can only make it after asar, so thats why we had it earlier.

In business, maximizing the profit is always the ultimate goal.... but "keberkatan" of the "rezeki" is also what we should aim for.

I was on my way to work today when I received a phone call from one of my customer for the golf equipment. Apparently there was a slight problen while he was playing his customary nine hole at the club and requested me to have a look at it. I was about 50 meters away from the office, but decided to make a u-turn and went to the golf club. I detected the problem right away and gave him my equipment for him to use while I rectify the problem. He was really appreciative of that and promised to help me to promote my product among his friends. Anyway, three of his friends already bought the same thing from me and I did promise him "teh tarik" one of these days!

I guess that's how it works.... take care of your customer and they will take care of you. No amount of fancy advertising can beat the word of mouth of a satisfied user.

CIMB+BCB=BCIMB or CICMB

Aha, so we are going to have another bank that will rival that of Maybank. Or more importantly, we are going to have our first global bank!

(OK, I am a bit a distracted when writing this as my favourite Barista at this particular Starbuck just entered. Aha... she's off duty today. Probably here just to hang out... oh wait, she has a a laptop too.... ah, probably finishing up her assignment. Hmmm, wonder what class she is taking... is it too late to do another degree ka ?Hehehehe... if you ask, its definitely the eyes, no.. the hair... perhaps she would want to work at BCIMB or CICMB upon graduation....or perhaps become Mrs Corporate Raider, heheheh......eh, enough of that la.... back to the entry)

Anyway, back to CIMB and BCB.... I guess it was a good move...... synergysing their strength would definitely mean we would be hearing more of them. I have always followed CIMB's progress and with the youthful Dato' Nazir Razak at the helm, I know that they are poised for bigger things to come. Hmmm, perhaps CIMB would do my listing when I am ready to do so in a few years time! Hehehehe, gotto think big and ahead right ?

I actually posted something yesterday but due to some faulty connection of the WiFi at Starbucks KLCC, somehow it never got published online. I was in KLCC for a meeting and well, I was writing about how suprisingly efficient the public transportation system in KL is that I actually arrived at KLCC early, hence the almost-made it blog entry of the wonders of KL public transport.

I am actually start to get worried about the funding issue. I am running out of time and the people I met so far are non-commital. Well, I am after all, asking them to part with their hard-earned half million ringgit and getting them to put their faith in me. If things continue this way, I'll take some drastic measure.... just can't let the company go under without a fight.

Ah, Boldy and Tommy.... I haven't been mentioning them enough of late. The company they are "ruining" (for simplicity's sake, lets just call it Tyrant Bhd (TB) ) is had their annual general meeting and board of directors meeting in the morning. I could only imagine the kind of crap Boldy and Tommy had presented to the board, their so-called "growth plan". Growth, my foot! With the staff being demoralized and resentment growing from top to bottom, I would call whatever plan they present a "grave plan"... yeah, that kind of grave where you bury the dead. I am honestly worried on the survival of TB. Although I no longer have any significant shareholding in the company, I guess I have some soft spot for it due to reasons only to be known by me :) Anyway, I do have my plans.... so, in due course we will see how long Boldy and Tommy will be able to practice their "tyrannical" management skills!

The AGM is a mere formality... out of the 200+ shareholders, barely 20 would turn up. That's the typical scenario in Malaysia, unless its held at a hotel and includes lunch! TB usually had theirs at the conference and it would be over in ten minutes. Refreshment would be served, of course, but no one wants to travel all the way to the state capital of Selangor just for two pieces of curry puff and a cup of lukewarm coffee, right ? I remembered attending an AGM of a large PLC and buffet lunch was served at the hotel's coffee house. Of course, all shareholders voted yes to all the motions, knowing that delaying the meeting would be delaying lunch!

Three Weddings and a headache...

Today, I have made a personal record of some sort. I attended three weddings back to back, and in the process actually travel a complete circle... Subang Jaya-LDP-Kelana Jaya-LDP-Putra Jaya-MRR2-Gombak-MRR2-LDP-Subang Jaya.

Obviuosly, to be able to attend all three weddings within the stipulated time, planning and timing is of the most importance! People do state on the invitation card "dari jam 12.00pm hingga 4pm, so you wouldn't want to be arriving later than that and had to contend with the caterers packing up their stuff right ?

The first wedding was at a hall in Kelana Jaya. I arrived there at approximately three minutes to twelve, so my timing looks good so far. Lucky for me, there were other guest who were already there, so I won't look too akward waiting for the buffet line "officially" commence! (by the way, I miss those weddings where they have people who brings you the tray of "lauk pauk" instead of you lining up at the buffet line. Blame it on the high labour cost!). Had my food (the acar buah is par excellent!) and after chit chatting with the family of the groom, I excused myself and made my way towards the second wedding.

The second wedding was at another hall in Putra Jaya, Dewan Serbaguna Precint 8 to be exact. It's actually a double wedding where the brother and sister decided to have a joint reception . I did not have any problem locating the hall as I am quite familiar with Putra Jaya. I arrived there slightly after one pm, therefore coinciding with the arrrival of the "pengantins". I met many of my family friends and relatives there and though already full from the food I ate, I couldn't resist the grilled chicken served with the"nasi briani". Stayed for another 20 minutes or so, and made my way for the third and final wedding of the day.

The third wedding was in Gombak, and it is held at the groom's house. The drive from Putra Jaya to Gombak was quite smooth sailing, owing to the light traffic on the road. I arrived there around 2.45pm. Spoke to the groom, the family and some friends and of course, had to "jamah" some food. 20 minutes later, I excused myself and made my way home.

Oh, the headache that I mentioned in the title? Well, I guess when you ate three servings of kenduri food, that is the typical result, heheh!

The printed ad and word of mouth

I have this particular product that I am currently selling (golfers would love this, provided they enjoy walking on the course instead of zipping around in the buggy. Oh, I carry THAT too:) ) and I am happy that it is selling quite well. I have complete confidence in the product but I was a bit sceptical at first about the selling part of it. I approached one of the major pro-shop operator and they told me, " OK, we are willing to carry your product provided we take a 50% margin". 50%??? Definitely not the way to go, as I can't position it at the price that I want. Obviously, anything not exceeding the RM1k mark would be attractive to customers who are used to buying it at RM1.5k-Rm2k.

So, I decided to take up an advertisement in one of the golf club's newsletter (which happens to be my home club, though I am not seen there a lot on the golf course!). It was a simple ad, with the picture of the product, the price and of course your truly's handphone number. I received the first of the many calls even before I received the copy of the newsletter! My handphone started to ring a lot and whenever I see any of the numbers that I don't recognize, I know that the call is for the product! But the amazing thing that happened is that people who called me for the products now are those who are recommended by their friends who were early buyers. Even members from other clubs started to contact me for the product and this is all from word of mouth of satisfied users. At the end of the day, you just to make sure that you have a reliable product that is reasonably priced.

Not bad for a RM1k investment in advertising eh ?

CHAMPIONS ONCE AGAIN....

Today I decided to take some time off from work in the morning and relive the "student" day experience of watching a basketball game. So, instead of heading to Shah Alam, I took the opposite direction and made my way to Putra Jaya... Sekolah Alam Shah to be exact. Yes, its the Piala Tun Hamdan Inter-Residential School Basketball tournament (it's called PHT now, as opposed to PPM when I was still in school).

I do not wish to go into details of the game. Yeah, MCKK won the game against STMFP, 50-51. Honestly, it wasn't a beautiful game but as mentioned by one of my friend (former captain of the '92 winning team), doesn't matte how they win... what matters is that they did bring back the trophy.

I guess that sort of kept me thinking about a lot of things. Sometimes it doesn't matter how you do things, what matters is that it gets done. Of course, it applies to work too, but it may not be the case. Sometimes, its not the destinatation that gives us the most rewarding feeling but its the journey itself. Seeing MCKK pulled off that win, despite the opponents having better shooters on the court sort of made me realized that there are times where we can have both.

I wish I arrived earlier there as the TKC vs SSP finals were on before the MCKK-STFMP game. Never have I seen so many ex-TKCian in one place, hehehe... and after all these year, I have to admit that I have a soft spot for those far maiden from the south. The game reminded me of the '92 finals where TKC played SSP and they won (of course, MCKK also won, against RMC) but this year, SSP totally outclass TKC. What a pity.. I would have enjoyed seeing MCKK and TKC taking pictures side by side as Champions :-)

Sex, Lies... and company annual report

OK, let me just admit that the above title has nothing to do with what I have to say at all :) Hey, its catchy, and thought it would be a nice shock factor for a mundane friday posting!

Anyway, getting back on track..... let's just admit it. Sex in the office.... whether we like to admit it or not, is rampant. Full stop. That's the last time I am mentioning the word sex in this posting. Got your attention for 5 seconds didn't I ? :-))

I have presented my proposal for the company rescue plan to two different investors and hoping the meet the third today. I admit that time is of the essence and I would really like to see this come through. However, if I succeed in convincing the investor to come up with the money to save the company, I may have to move to the next painful step.... cutting down on the headcount. I have done this twice in my career and this time around, it will be very different as I am dealing with people who have been with the company for 30 years or so. The survival of the company totally depends on it being mean, at least for the first two years. Given the pedigree of its name in the market, I am confident of bringing the company up to the market leader position.

Still, need to get the funds in first....

Boardroom Tussle....

I felt as if it was just recently I read about boardroom tussle and power struggle at KFCH. Here I am, reading The Star on saturday and The Edge too, with news on the same thing. I guess Dato' Johari and Dato' Izhar are having sleepless nights during this few weeks.

I was in the midst of a boardroom tussle once. Well, I wasn't the one being removed but close associates of mine. We were already losing control of the company at that time and I guess we are actually living on borrowed times. To cut the story short, there was a compromise and in the end both parties ended up with an amicable settlement. If only more people are willing to listen to each other's view...

The Tales of Boldy and Tommy...the intro

Heheheh... I feel really wicked doing this but what the heck... If this is the only way I have to just vent out a "bit" of my frustration at these two clowns, then so be it!

To begin with, Boldy and Tommy are quite smart people in their own right but somehow for reasons not to be revealed as yet, they have been quite vindicative and going on a witch-hunt of some sort.

Background..

Boldy and Tommy have been made the Executive Directors of a major automotive parts supplier upon the takeover of the company (also another story on its own.. coming soon later) about a year ago. In fact, these two people are almost self-appointed as out of the blue, by association with the new major shareholder, they are the EDs of the company. The company is not bad by any Malaysian standard, producing an important part for the automotive industries with turnover of reaching in the hundreds of millions. Prior to the arrivals of these two "management gurus", the company was managed well... it did ok. Profit was there... cost could be a bit on the high side but fundamentally it was ok. So, here comes Mr Boldy and Mr Tommy... unleashing their "cost cutting blades" almost as swiftly as a surgeon in an operating theatre. Everything was cut... allowances, company cars... what can be cut we cut. Of course, it made them look oh-so-good to major shareholder but the problem with these two "gurus" is that they are just not addressing the real issue of the company (I am sorry, I just can't reveal that... ethical issue here...). Of coursem they also did the usual shuffling people here and there... which for me, does not create any value whatsoever to the company. Why make changes just for changes sake ? Come on, address the real issue la!

The best thing... while they are cutting and snipping here and there... these two management experts had the gall to increase their own salary. Yes, they did that. Of course, hidden under the ever vague Entertainment Allowance. What the heck does an ED handling finance need RM2k in entertainment allowance for?? Where is the corporate gorvanance issue here? Being directors they need to present any of these increase to the Rumeneration Commitee for approval, which in turn, would propose it to the board and get it endorse. Did they do that ? Of course not! How to bypass ? Easy.... also propose for an increase in the Chairman's allowance and he would gladly sign it too ! But wait a minute... despite having majority control, there are other shareholder's and directors too. Governance, Boldy and Tommy... kata professional sangat ! Mengutuk orang kiri kanan tak ingat dunia... semua org salah... (btw, I know the things you have said about me behind my back... trust me, you'll get it one day... esp you Boldy).

How Much Is Enough

What is a reasonable return to a funder ? I really need to rescue this operations and I am selling to them something that I whole-heartedly believe in. Yes, the previous management may have been a bit ambitious and over-optimistic on the company and I still blame them for putting me in this mess now (I'll get back to them when I am done with this, for sure). I could do this... I would like to prove to Baldy and Tummy (you'll come across them as my entries progress - a lot of bean to spill on them, so God help us all !)

I have been mulling in my mind about the kind of return to give that investor. For the first half million, payable in three years, I am looking at 12% per annum... that's the 36% in three years. With banks giving a mere 3-4% and ASB/ASN/TH at no more than 7%, it should pique the interest of our good funder here. The cash flow is doable... I can fill up the place almost immediately and see the revenue sky-rocket...

Still need to polish up the paper I am presenting tonight this investor. Yeah, its not easy to get someone to part with RM1 million ringgit, based on faith and future potential of a company that has seen better days before. How do you tell someone, that look... figure doesnt tell the whole story (but with the company so deep in the red, it does tell something la..)
